There is one year left in the 3-year transition from the Canada Corporations Act (“CCA”) to the Canada Not-for-profit Corporations Act (“CNCA”).  So far, roughly 5% of CCA corporations have completed the transition. The deadline to continue is October 17, 2014, after which the CCA corporation becomes vulnerable to involuntary dissolution. Our panelists have accumulated considerable experience with continuance under the CNCA and have dealt with many practical issues. Attend this program and get valuable insight and practical guidance into continuance under the CNCA. This webinar will cover:

•      Step-by-step process to continue under the CNCA;
•      Pre-clearance with CRA Charities Directorate (for registered charities and RCAAAs);
•      Articles of continuance – contents (including variations depending on whether corporation is soliciting or
        non-soliciting), approval and filing;
•      By-laws – contents, timing of approval and filing with Corporations Canada;
•      Post-continuance organization/filings (including CRA); and
•      Other special issues that charities need to know about in respect of continuance.

Material will include a precedent continuance checklist, articles, and by-laws based on Corporations Canada’s models.
