Some Ontario corporations have provisions in their by-laws that allow for virtual meetings.  This is particularly important during COVID.    However, some have provisions that prohibit virtual meetings.   The Ontario government has emergency provisions that allowed for virtual meetings for OCA corporations notwithstanding that their governing documents might have prohibited them.  These emergency provisions have now been extended to September 30, 2022.  This applies to OCA/ONCA corporations and not to Federal CNCA corporations.

With ONCA coming into force on October 19, 2021, it will be important for Ontario non-profits to pass articles of amendment and new by-laws.  New by-laws generally would have the ability to have virtual meetings.
